UpMatch Terms & Services Agreement

Welcome to UpMatch (“UpMatch”, “we”, “us”, or “our”). This Terms & Services Agreement (“Agreement”) governs your use of our website, https://upmatch.io (the “Website”), and any paid or unpaid services provided by UpMatch.

By accessing the Website, purchasing our services, or making any payment to UpMatch, you agree to be bound by this Agreement. If you do not agree, please do not use our Website or services.

1. Scope of This Agreement

This Agreement applies to:

  • All visitors to the Website; and
  • All clients who purchase or use any UpMatch services, whether on a subscription, fixed-term, custom, or one-off basis.

In the event of any conflict, this Agreement governs all paid services and transactions.

2. Services Provided

UpMatch provides managed services and educational resources related to Upwork lead generation and client acquisition. Services may include, but are not limited to:

  • Profile description crafting and optimisation
  • Cover letter creation and optimisation
  • Profile audits and reviews
  • Tailored Upwork bidding strategies (including filters such as region, contract type, or budget, where requested)
  • Loom video guidance, review, and feedback
  • Full Loom guideline packs
  • Access to an A-Z Upwork course
  • Weekly or bi-weekly reporting
  • Sales call coaching support (when meetings are booked)
  • Ongoing strategy, consulting, and execution related to Upwork lead generation
  • Daily communication via Slack, subject to reasonable availability

The exact scope of services may vary depending on the plan, agreement, or custom arrangement selected by the client.

UpMatch reserves the right to modify, improve, or discontinue any part of its services at its discretion.

3. No Guarantee of Results

UpMatch provides services on a best-efforts basis.

While we aim to help clients improve their Upwork performance and lead generation outcomes, results are not guaranteed. Outcomes may vary depending on factors outside our control, including but not limited to:

  • Client offer quality and pricing
  • Client profile history and reputation
  • Market demand and competition
  • Client responsiveness and cooperation
  • Upwork platform rules, algorithms, and policies

Any references to growth, success, or results are illustrative only and do not constitute a promise or guarantee.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information when reasonably required
  • Provide necessary access, permissions, assets, and materials required for service delivery (without requiring credential sharing in violation of third-party platform terms)
  • Respond in a timely manner to reasonable requests
  • Use UpMatch services lawfully and in compliance with applicable laws and third-party platform rules

Delays or limitations caused by the client’s failure to provide required access or cooperation shall not be the responsibility of UpMatch and do not constitute grounds for refunds or non-payment.

5. Communication & Availability

UpMatch provides ongoing communication via Slack or other agreed channels.

While we aim to maintain regular and responsive communication, continuous or 24/7 availability is not guaranteed. Occasional response delays do not constitute a breach of this Agreement.

6. Billing & Payments

6.1 Billing Structure

UpMatch services may be billed on a:

  • Weekly
  • Monthly
  • Quarterly
  • Six-month
  • Yearly
  • Custom
  • One-off payment basis

Billing terms will be communicated at or before purchase.

6.2 Payment Start

Billing begins immediately upon payment, unless otherwise agreed in writing.

6.3 Subscriptions

Subscription services automatically renew for the same billing period unless cancelled in accordance with this Agreement.

You authorise UpMatch to charge your selected payment method for recurring payments until cancellation.

7. Cancellation Policy

Clients may request cancellation at any time.

  • Cancellations take effect at the end of the current billing period
  • Services continue until the billing period ends
  • No partial or retroactive cancellations are provided

Cancellation requests must be submitted through the process communicated by UpMatch at the time of service.

8. Refund Policy

Refunds are only available before services have begun.

Once any work has commenced, all payments are non-refundable, including but not limited to:

  • Strategy work
  • Optimisation
  • Bidding activity
  • Reviews
  • Reporting
  • Access to materials or resources

This policy applies regardless of performance outcomes.

9. Intellectual Property

All Website content, materials, frameworks, processes, courses, templates, and resources are the intellectual property of UpMatch or its licensors.

Clients are granted a limited, non-transferable, non-exclusive licence to use provided materials for their own internal business use only.

Unauthorised copying, resale, distribution, or sharing is prohibited.

10. User-Generated Content

If you submit content to UpMatch, you grant us a non-exclusive, royalty-free, worldwide licence to use, reproduce, and display such content solely for service delivery or promotional purposes.

You represent that you have the right to provide such content.

11. Third-Party Platforms

UpMatch may integrate with or provide guidance related to third-party platforms (including but not limited to Upwork and Loom).

UpMatch is not responsible for:

  • Changes to third-party policies
  • Platform suspensions or restrictions
  • Technical issues outside our control

Clients remain responsible for compliance with all third-party platform terms.

12. Disclaimers

Services are provided on an “as-is” and “as-available” basis.

To the fullest extent permitted by law, UpMatch disclaims all warranties, express or implied, including fitness for a particular purpose or uninterrupted service.

13. Limitation of Liability

To the fullest extent permitted by law, UpMatch shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.

UpMatch’s total liability for any claim shall not exceed the amount paid by the client in the three (3) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless UpMatch, its directors, employees, contractors, and agents from any claims, damages, or expenses arising from your use of the Website or services, or your breach of this Agreement.

15. Termination

UpMatch may suspend or terminate access to services or the Website if this Agreement is breached or if unlawful activity is suspected.

Termination does not affect payment obligations already incurred.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.

17. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the Website or services after changes constitutes acceptance of the updated terms.
